iEatz Healthy – Terms of Service

READ CAREFULLY: These Terms of Service (“Terms”) are a legally binding agreement between you and iEatz Healthy, Inc. (“iEatz Healthy,” “we,” “us,” or “our”) governing your access to and use of our mobile applications, website located at www.ieatzhealthy.com, and related products, features, and services (collectively, the “Service”).

If you do not agree to these Terms, do not use the Service.

1. ELIGIBILITY AND SCOPE

1.1 Age and Residency.

The Service is intended only for individuals 13 years or older who reside in the United States.

If you are between 13 and 17 years old, you may use the Service only with the permission of and under the supervision of your parent or legal guardian. By using the Service, you represent and warrant that: (a) you are at least 13 years old, and (b) if you are under 18, your parent or legal guardian has reviewed and agreed to these Terms and our Privacy Policy on your behalf and accepts responsibility for your use of the Service.

The Service is not directed to children under 13, and children under 13 may not use the Service.

We may configure our app-store age rating and onboarding flows to reflect these requirements. If you are under 13, you may not use the Service.

1.2 Use in the United States Only.

The Service is designed for use in the United States. We do not warrant that the Service is appropriate or available in other jurisdictions. If you access the Service from outside the United States, you do so at your own risk and are responsible for compliance with local laws.

1.3 Business Users and B2B Clients.

Certain features of the Service may be offered to clinics, dietitians, gyms, employers, or other organizations under separate written agreements. To the extent of any conflict between such agreement and these Terms, the written agreement will control for that business relationship.

2. MEDICAL AND NUTRITION DISCLAIMER

2.1 No Medical Advice.

iEatz Healthy is not a health-care provider, dietitian, or medical professional. The Service may provide calorie counts, macronutrient estimates, ingredient suggestions, grocery lists, or other nutrition-related information, but this content is for informational and educational purposes only and is not a substitute for professional medical advice, diagnosis, or treatment.

2.2 Consult Your Professional.

Always consult a physician, registered dietitian, or other qualified health provider before making any changes to your diet, exercise, or wellness routines, particularly if you have food allergies, intolerances, chronic conditions, are pregnant or nursing, or have other health concerns. Do not ignore or delay seeking professional medical advice because of something you read in the Service.

If you are under 18, you should consult with a parent or legal guardian and an appropriate health professional before making significant dietary or exercise changes.

2.3 Emergencies.

In an emergency, call 911 or your local emergency number immediately. The Service is not intended for emergency use.

2.4 Accuracy Limitations.

Calorie counts, macronutrient estimates, ingredient lists, allergen flags, and related values may be approximations and may not reflect the exact nutritional content of any specific product, recipe, brand, or portion size. You are solely responsible for verifying accuracy where it matters (including labels and medical guidance).

3. PRIVACY

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. Please review it carefully, as it explains how we collect, use, and share information about you.

4. SERVICE OVERVIEW AND FEATURES

The Service may include, among other things:

• Pantry and Ingredient Tracking. Tools to add ingredients manually or via receipt scanning, and to maintain a pantry “truth” that powers recommendations.

• Receipt Scanning. Ability to upload photos of grocery receipts for OCR and parsing into ingredients.

• Meal Generation. Personalized meal suggestions generated from a combination of:

– Pre-generated meals stored in our database; and

– AI-generated meals created on demand using third-party AI providers.

• Meal Images. AI-generated images associated with meals, viewable in the app.

• Shopping Lists. Pre-built and/or personalized shopping lists (for example, by persona), with options to send lists to third-party services (such as Instacart) or merchants.

• Favorites and Feedback. Ability to favorite (“heart”) meals and, in the future, provide ratings or thumbs up/down to help improve recommendations.

• In-App Chat. AI-powered or human-assisted chat features for support and general guidance.

• Third-Party Links. Links to or integrations with third-party merchants, delivery services, and affiliate partners (including Instacart and Amazon).

We may add, remove, or modify features from time to time, with or without notice, consistent with Section 18 (Changes to the Service and Terms).

5. ACCOUNTS AND SECURITY

5.1 Account Registration.

To use most features, you must create an account with a valid email address and password. You agree to provide accurate, current, and complete information and to keep it updated.

5.2 Account Security.

You are responsible for all activity that occurs under your account. Keep your login credentials confidential and do not share them with anyone. Notify us immediately at admin@ieatzhealthy.com if you believe your account has been compromised.

5.3 No Guest Guarantees.

We may allow limited “guest” or trial functionality without a full account. Any such access is provided “as-is” and may be limited or revoked at any time.

6. SUBSCRIPTIONS, ONE-OFF PURCHASES, AND FEES

6.1 Subscriptions.

Certain features require a paid subscription (a “Subscription”), such as the Pro Plan (currently priced at $1.99 per month on iOS). Subscription features and pricing are shown at the point of purchase and may vary by platform and region.

6.2 “Buy a Meal” One-Off Purchases.

Both free and paid users may be offered a per-meal AI generation option (for example, “Buy a Meal” for a stated price per meal). These are one-time purchases that provide temporary or single-use access to additional AI-generated content, as described in the app at time of purchase.

6.3 Auto-Renewal.

Unless otherwise stated, Subscriptions automatically renew at the end of each billing period at the then-current price, until you cancel.

6.4 Platform Billing.

If you purchase via the Apple App Store (or, in the future, Google Play or other app stores), your purchase is processed by that platform, and their billing terms, refund policies, and dispute processes apply. You must manage your Subscription (including cancellation) through your platform account settings.

6.5 No Direct Refunds via iEatz Healthy.

Except where required by law or expressly stated in writing, we do not issue direct refunds for purchases processed by app stores or third-party payment processors. Any available refunds are typically handled by the platform (for example, Apple).

6.6 Price Changes.

We may modify Subscription or per-meal pricing from time to time. Price changes will generally apply to the next billing cycle and may require your consent where required by platform rules or law.

6.7 Non-Payment.

If your payment method is declined or your account is past due, we may suspend or terminate access to paid features and/or downgrade you to a free tier.

7. USER CONTENT AND LICENSE GRANT

7.1 User Content.

“User Content” includes any information, text, photos, images, feedback, ratings, favorites, receipts you upload, chat messages, or other materials that you submit, upload, or otherwise make available in the Service (excluding purely system-generated content we create).

7.2 Your Ownership.

You retain ownership of your User Content, subject to the rights granted below.

7.3 License to iEatz Healthy.

By submitting User Content, you grant iEatz Healthy a non-exclusive, worldwide, royalty-free, sublicensable, transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content in connection with:

• Operating and improving the Service;

• Personalizing your experience and providing recommendations;

• Debugging, security, and analytics; and

• Marketing and promoting the Service (including reposting user-generated content on social channels) to the extent permitted by law and any additional consents we obtain.

7.4 Responsibility for User Content.

You are solely responsible for your User Content and for ensuring it:

• Does not violate any law or third-party rights (including privacy, publicity, or intellectual property rights);

• Does not contain confidential or highly sensitive information (such as full payment card numbers, social security numbers, or detailed medical histories); and

• Complies with these Terms and any community guidelines we may publish.

8. INTELLECTUAL PROPERTY

The Service, including all text, graphics, logos, icons, software, AI models and outputs (other than your User Content), and other content, is owned by iEatz Healthy or its licensors and is protected by intellectual-property and other laws.

Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for your personal, non-commercial use. Except for this limited license and your rights in your own User Content, you obtain no rights in or to the Service or its content.

9. APP STORE TERMS

If you access or download the Service from an app store (such as Apple’s App Store), you acknowledge that:

• These Terms are between you and iEatz Healthy, not the app store;

• The app store is not responsible for the Service or its content; and

• The app store may enforce its own terms and is a third-party beneficiary of these Terms with the right to enforce them against you.

10. THIRD-PARTY SERVICES AND AFFILIATES

10.1 Instacart and Other Merchants.

The Service may link to or pre-populate shopping carts or lists with third-party merchants and delivery services (such as Instacart). Your orders with those third parties are governed by their terms and privacy policies. We do not control and are not responsible for the pricing, availability, accuracy, or fulfillment of third-party orders.

10.2 Amazon and Other Affiliate Links.

The Service may display or link to products offered by Amazon or other merchants via affiliate links. If you make a purchase via such links, we may receive a commission. We do not control the merchant’s site, checkout, shipping, or returns.

10.3 AI Vendors and Other Providers.

We use third-party AI providers (currently including OpenAI and potentially others in the future) and other vendors to generate meals, images, OCR results, and support chat responses. By using the Service, you authorize us to transmit the necessary data (such as receipt images, ingredients, and prompts) to those providers, subject to our Privacy Policy.

10.4 No Endorsement.

Reference to any third-party product, service, or company does not constitute endorsement or recommendation by iEatz Healthy.

11. DATA USAGE AND AI OUTPUTS

11.1 Data Usage.

Our collection and use of data, including for analytics, personalization, and advertising, is described in our Privacy Policy.

11.2 AI-Generated Content.

Portions of the Service (meals, images, chat responses, recommendations) are generated by or with the assistance of AI models. AI-generated outputs may be incomplete, inaccurate, or inappropriate and should be used with caution. You are solely responsible for how you use any AI-generated content.

11.3 No Guarantee of Results.

We do not guarantee that any meal plan, recipe, grocery list, or recommendation will meet your health, nutrition, financial, or personal goals.

12. PROHIBITED CONDUCT

You agree not to, and not to assist or permit any third party to:

• Use the Service for any unlawful purpose or in violation of any law or regulation;

• Upload, share, or transmit any content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable;

• Upload, share, or transmit any content involving profanity, explicit sexual content or nudity, depictions of violence, promotion of alcohol, tobacco, or drugs, gambling, or other content that would make the Service unsuitable for users 13 years of age or older;

• Attempt to gain unauthorized access to the Service or to other users’ accounts;

• Interfere with or disrupt the Service, servers, or networks;

• Use automated tools (bots, scrapers, etc.) to access or extract data from the Service without our prior written consent;

• Reverse-engineer, decompile, or attempt to derive the source code of any part of the Service, except as permitted by law; or

• Circumvent or attempt to circumvent any security or access controls.

We reserve the right (but have no obligation) to monitor, remove, or disable access to content or accounts that violate these Terms.

13. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NONINFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, that any defects will be corrected, or that the Service will be compatible with your devices or network.

14. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL IEATZ HEALTHY OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US (IF ANY) FOR THE SERVICE DURING THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY U.S. DOLLARS (US$50).

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

15. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless iEatz Healthy and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with:

(a) your access to or use of the Service;

(b) your User Content; or

16. TERMINATION

We may suspend or terminate your access to the Service, or any portion of it, at any time and for any reason, including if we believe you have violated these Terms. You may stop using the Service at any time and, where applicable, cancel your Subscription through your app-store account settings.

Upon termination, sections of these Terms that by their nature should survive (including Sections 2, 7–8, 10–18) will remain in effect. We may retain de-identified data, including recipes that no longer identify you, for product improvement and analytics, as described in our Privacy Policy.

17. GOVERNING LAW, ARBITRATION, AND CLASS WAIVER

17.1 Governing Law.

These Terms and any dispute arising out of or relating to them or to the Service are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles.

17.2 Informal Resolution.

Before initiating any formal dispute, you agree to contact us at admin@ieatzhealthy.com and attempt to resolve the dispute informally. We will do the same. If the dispute is not resolved within thirty (30) days, either party may proceed as described below.

17.3 Arbitration.

Except for claims that may be brought in small-claims court, any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules. The arbitration will be held in Wilmington, Delaware before a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction.

17.4 Class Action Waiver.

YOU AND IEATZ HEALTHY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. CLASS ARBITRATIONS AND CLASS ACTIONS ARE NOT PERMITTED.

17.5 Statute of Limitations.

Any claim arising out of or relating to the Service or these Terms must be filed within one (1) year after the cause of action accrues; otherwise, such claim is permanently barred.

18. CHANGES TO THE SERVICE AND TERMS

We may modify or discontinue all or part of the Service at any time. We may also update these Terms from time to time. When we do, we will change the “Last Updated” date above and may provide additional notice as required by law. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.
